1. DEFINITIONS

For the purposes of these terms and conditions, the following terms shall have the meanings set forth below:

„Company“ refers to Nanotech industry products, the unit that delivers the goods in accordance with the contract.

„Goods“ means all products, items, components or materials described in the contract, including any individual equipment ordered by the buyer.

„"Accessories" refers to ancillary items offered by the company and treated as separate goods. Accessories are not considered part of a main product unless expressly confirmed in writing by the company.

„Buyer“ means the person, firm, organisation or company that acquires the goods from the company – directly or indirectly through an agent, representative or factor acting on behalf of, appointed by, or subsequently approved by the buyer.

„"Contract" refers to the complete agreement between the company and the buyer, consisting of:

• the company's offer and all documents mentioned therein

• these terms and conditions of sale

• the company's written order confirmation

• the buyer's order for the goods.

In case of discrepancies between the documents, the above-mentioned order of priority applies.

The contract language is exclusively German.

2. GENERAL & SCOPE OF THE TERMS AND CONDITIONS

These terms and conditions form an integral part of every contract for the sale of goods by the company. In the event of any conflict between these terms and conditions and any terms and conditions contained in an order, letter, purchase order form, or other communication from the buyer, these terms and conditions shall prevail unless the company expressly confirms a deviation in writing through a company director.

The product range is aimed exclusively at Businesses, companies, organizations and institutions (B2B).

Any concessions, flexibility, or accommodations offered by the company do not constitute a waiver of the company's contractual rights.

Should any provision of these terms be invalid, the remainder of the terms shall remain in full force and effect.

3. ORDERS & ORDER CONFIRMATION

Orders placed verbally or by telephone must be confirmed in writing.

The product presentation on the website represents no binding application It is not a representation, but rather a non-binding invitation to place an order.

A binding purchase offer can be made by telephone, email or fax.

After receiving the purchase offer, the buyer will receive an acknowledgement of receipt. A contract is only concluded through:

• express order confirmation or

• Shipping of the goods.

Orders that have already been paid for or are being processed cannot be cancelled. In exceptional cases, the company may accept a cancellation (50 % cancellation fee).

Orders from resellers are Non-cancellable and non-refundable.

Product availability cannot be guaranteed.

4. PRICES

All prices are Net prices and get along without taxes.

„Free delivery“ refers exclusively to packaging and shipping costs.

Price changes are possible at:

• Material costs

• Exchange rate changes

• Labor costs

• Production costs

Promotional prices apply 14 days. After this period, the list price applies.

5. PAYMENT TERMS

Payment via:

• Bank transfer

• Bank card

• credit card

The company determines the available payment methods.

In case of late payment, the following apply: statutory default interest of 5 percentage points above the base interest rate.

All orders will be processed according to 3 days This is final and non-refundable, as the calibration process begins.

If the buyer does not return goods within the specified time, a claim arises. tacit rental agreement with daily rental fee.

6. DELIVERY & RISK & INSTALLATION

Delivery is made from stock or from abroad if goods are not in stock at the central warehouse in Berlin.

Delivery times are Estimates and cannot be guaranteed. Liability for delivery delays is excluded.

The risk passes to the buyer as soon as the goods have been handed over to the carrier.

The company accepts no liability for:

• Loss

• Non-delivery

• Transport damage

Notification by the buyer within 48 hours.

Installation by a technician is possible within 14 days. The company is not liable for installation damage.

7. RETURNS & EXCHANGES & REFUNDS

Returns only with written authorization within 3 days.

Returns without an RMA will be rejected.

B2B transactions: no consumer rights.

Customized products are non-returnable.

Calibration, packaging, shipping and recycling fees may apply.

Goods must be unused and in their original packaging.

Destructive testing equipment are non-refundable.

8. WARRANTY

Standard warranty: 12 months.

The warranty covers manufacturing defects, but not:

• wear

• improper use

• Transport damage

During the warranty period, the company may, at its sole discretion, repair, replace, or exchange the product.

9. PACKAGING AND TRANSPORT

All prices exclude packaging and transport costs.

10. RISK & RETENTION OF TITLE

The risk passes to the carrier upon handover.

Ownership remains with the company until full payment is received.

The buyer must store the goods separately and labeled.

If the sale is made before payment, the proceeds are held in trust by the company.

In case of late payment, the company is allowed to reclaim the goods and resell them.

11. TERMS & WARRANTIES & SALE AS DESCRIPTION / SAMPLE & CALIBRATION

The contract is no Sold according to description or sample.

All implied warranties are excluded.

Calibrated instruments can drift out of tolerance at any time. Continuous measurement accuracy is not guaranteed.

12. DEFECTS & WARRANTY & LIMITATION OF LIABILITY

12-month warranty against manufacturing defects (excluding electrical components).

The company may, at its own discretion:

• repair

• substitute

• parts

Manipulated or unauthorized repaired goods are excluded.

For third-party products, supplier warranties are passed on.

Liability for incorrect use by the buyer is excluded.

Liability for death or personal injury remains unaffected.

Returns without an RMA will be rejected.

13. SAMPLE TESTING SERVICES

No liability is accepted for loss or damage to submitted samples.

14. CONSEQUENTIAL DAMAGES & TORT LIABILITY

No liability for:

• Consequential damages due to defects

• Financial losses

• Third-party damages

• tort claims

Liability is limited to cases of intent and gross negligence. The customer bears the burden of proof.

Liability for calibration accuracy is excluded.

15. LIMITATION OF LIABILITY

Liability is limited to the Price of the goods in question limited.

16. RECORDINGS & NO DEVIATION DUE TO MARKETING MATERIALS

Marketing materials do not change the terms of the contract.

Product images are visualizations and may differ.

17. FORCE MAJEURE

Delivery delays due to external circumstances entitle the company to:

• delay

• reduction

• cancellation

No liability is accepted for any resulting damages.

18. APPLICABLE LAW & JURISDICTION

All contracts are subject to the United States law.

Place of jurisdiction: Courts of the United States.

19. POSTAL ADDRESS

Legal documents must be sent to the address specified in the contract/invoice. Documents sent to other addresses are invalid.

20. HEADINGS

Headings are for orientation purposes only and do not affect the interpretation.
