General terms and conditions of business
§ 1 Scope and provider
(1) These General Terms and Conditions apply to all orders you place
work on nanotech industry products.
(2) The range of goods and offers are aimed exclusively at traders, companies, institutions and B2B, hereinafter referred to as “customers”.
(3) Our deliveries, services and offers are made exclusively on the basis of these General Terms and Conditions. The general terms and conditions also apply to companies for all future business relationships, even if they are not expressly agreed again. The inclusion of a customer's general terms and conditions that contradict our general terms and conditions is already objected to.
(4) The contract language is exclusively German.
§ 2 Conclusion of contract
(1) The presentation of goods on our website does not constitute a binding application to conclude a purchase contract. Rather, it is a non-binding request to order available goods.
(2) A binding purchase offer (§ 145 BGB) can be made via telephone, email or fax.
(3) After receipt of the purchase offer, you will receive an email in which we confirm that we have received your order (confirmation of receipt).
(4) A purchase contract for the goods is only concluded when we expressly declare acceptance of the purchase offer (order confirmation) or when we send the goods to you without a prior express declaration of acceptance.
(5) Sales are made exclusively to businesses, corporations and tradespeople and exclusively under our General Terms and Conditions. Amendments are only possible in writing and require the written consent of the head office via the signature of the management.
§ 3 Prices
(1) The prices are net prices and do not include any taxes.
(2) 'Free delivery' refers solely to the packaging costs and shipping charges and does not include any taxes.
(3) We sell goods exclusively to businesses, organizations, and tradespeople on a B2B basis. Refunds are not automatic and require a written request and approval from our headquarters via email. However, we are always happy to assist you to the best of our ability, including with exchanges, calibration services, repairs, and maintenance. All our products are carefully tested and calibrated. In the event of an exchange or return, packaging, shipping, and calibration fees must be paid, even if these were originally discounted or included free of charge at the time of purchase. Goods for exchange or return must be unused and returned in their original packaging. Goods showing signs of wear are excluded from return and exchange. Testing equipment damaged during normal use is also excluded from the right of return.
(4) Products manufactured according to customer specifications and custom-made products are excluded from the right of return and exchange, as these are produced specifically for the individual customer. We are always happy to assist you with any necessary repairs, maintenance, service, and calibration.
(5) IQ, OQ, and PQ documentation prepared at the customer's request is excluded from the right of return, exchange, and refund, as it is specifically prepared for the individual customer and is billed either according to the legally prescribed hourly rate or a discounted flat fee. Please see the glossary for further information. We are always happy to assist you with any necessary service and recalibration.
(6) Calibration services and calibration certificates performed at the customer's request must be ordered separately and will be invoiced separately. They are excluded from the right of return and refund. Please see the glossary for further information. We are always happy to assist you with any repairs, maintenance, service, and calibration needs.
(7) Training sessions conducted at the customer's request are on-site sessions performed by our qualified engineers. These sessions must be ordered separately and will be invoiced separately. They are excluded from the right of return and refund. Please see the glossary for further information. We are always happy to assist you with any repairs, maintenance, service, and calibration.
§ 4 Payment conditions
(1) Payment can be made either by bank transfer, bank card or credit card.
(2) We are responsible for selecting the available payment methods.
(3) If you fall behind with a payment, you are obliged to pay statutory default interest of 5 percentage points above the base interest rate.
§ 5 Offsetting/right of retention
(1) You only have the right to offset if your counterclaim has been legally established, is not disputed or recognized by us or has a close synallagmatic relationship to our claim.
(2) You can only exercise a right of retention if your counterclaim is based on the same contractual relationship.
§ 6 Delivery and retention of title
(1) Unless otherwise agreed, the goods will be delivered from our warehouse to the address you provided.
(2) The goods remain our property until the purchase price has been paid in full.
(3) In exceptional cases, we are not obliged to deliver the ordered goods if the goods are sold out. We do not assume the risk of procuring the ordered goods. If the goods are unavailable, we will immediately refund any payments you have already made. We do not assume the risk of having to procure ordered goods (procurement risk). This also applies when ordering goods that are only described in terms of their type and characteristics (generic goods). We are for delivery only
from our stock of goods and the goods we have ordered from our suppliers.
(4) We reserve ownership of the goods until all claims from the ongoing business relationship have been settled in full. Pledging or transfer of security is not permitted before ownership of the reserved goods is transferred.
(5) Goods that are not in stock in our central warehouse in Berlin will be delivered from abroad. The standard delivery time is approximately 3 to 7 working days.
(6) Delivery times are estimates and cannot be guaranteed as they depend on a number of factors, including the delivery service provider and their capacities, particularly during public holidays. However, we always strive to deliver goods quickly, reliably and on time. A liability claim due to delayed delivery is excluded.
§ 7 Liability:
We are only liable for damages caused by intent or gross negligence. Personal injuries are excluded from this restriction. In the event of damage, the customer must prove the existence of slight or gross negligence. Compensation for (defect) consequential damage, other property damage, financial loss, as well as damage to third parties against the customer is expressly excluded. The limitation of liability also applies to any vicarious agents. A variety of influences can affect technical devices after they have been calibrated, including handling, storage, transportation and much more. Liability for the calibration and the accuracy and functionality of the products is expressly excluded. Liability for delivery delays is excluded.
§ 8 Definitions:
- Training: On-site service for conducting IQ, OQ, PQ with brief training on how to operate your new testing equipment.
- IQ Documentation: Templates for performing IQ on your testing equipment; these templates can be printed repeatedly and used for regular IQ in your laboratory.
- OQ Documentation: Templates for performing OQ on your testing equipment; these templates can be printed repeatedly and used for regular OQ in your laboratory.
- PQ Documentation: Templates for performing PQ on your testing equipment; these templates can be printed repeatedly and used for regular PQ in your laboratory.
- On-site qualification: Optional on-site validation and/or customer-specific qualification at the place of use, not included in the scope of delivery of the IQ, OQ, PQ documentation (IQ, OQ, PQ templates) and must be ordered separately and will be invoiced separately to cover the travel expenses of our engineers to your facility.
- SAT: Optional on-site acceptance testing and/or customer-specific SAT, not included in the scope of delivery of the IQ, OQ, PQ documentation (IQ, OQ, PQ templates) and must be ordered separately and will be invoiced separately to cover the travel expenses of our engineers to your facility.
- Calibration certificate: An official document that confirms the results of a calibration and verifiably documents the measurement accuracy of your testing device or test instrument. It serves as proof of quality, demonstrating that your measuring instrument operates within defined tolerances.
- Operating instructions: An operating manual (also: user manual, instruction manual, manual) is a technical document that explains to the user how to use a product safely and correctly. It serves as both an informational resource and a practical guide for the use, maintenance, and troubleshooting of your new testing equipment.
- Quality certificate: An official document that confirms that your measuring instrument meets certain quality standards or technical requirements.
- Delivery note: An accompanying document that is sent with the delivery of your new testing equipment and describes the actual contents of the delivery.
