1. DEFINITIONS

For the purposes of these Terms and Conditions, the following terms shall have the meanings set forth below:

„Company“ means Nanotech Industrie Produkte, the entity that delivers the goods in accordance with the contract.

„Goods“ means all products, items, components, or materials described in the contract, including all individual units ordered by the buyer.

„Accessories“ refers to ancillary items offered by the company and treated as separate goods. Accessories are not considered part of a main product unless expressly confirmed in writing by the company.

„Buyer“ means the person, firm, organization, or company that purchases the goods from the Company—either directly or indirectly through a representative, agent, or factor who acts on behalf of the Buyer, has been authorized by the Buyer, or whose actions have been retroactively approved by the Buyer.

„Agreement“ means the entire agreement between the Company and the Buyer, consisting of:

• the company's offer and all documents referred to therein

• these Terms and Conditions of Sale

• the company's written order confirmation

• the buyer's order for the goods.

In the event of any inconsistencies between the documents, the order of priority listed above shall apply.

The language of the contract is exclusively German.

2. GENERAL PROVISIONS & SCOPE OF APPLICATION OF THE TERMS AND CONDITIONS

These Terms and Conditions are an integral part of every contract for the sale of goods by the Company. In the event of any conflict between these Terms and Conditions and any terms and conditions contained in an order, letter, order form, or other communication from the Buyer, these Terms and Conditions shall prevail, unless the Company expressly confirms a deviation in writing through a Company director.

The product range is intended exclusively for Businesses, companies, organizations, and institutions (B2B).

Any concessions, flexibility, or accommodation on the part of the company shall not constitute a waiver of the company's contractual rights.

If any provision of these terms and conditions is invalid, the remaining provisions shall remain in full force and effect.

3. ORDERS & ORDER CONFIRMATION

Orders placed verbally or by phone must be confirmed in writing.

The product presentation on the website provides no binding proposal but rather a non-binding invitation to place an order.

A binding offer to purchase may be made by phone, email, or fax.

Upon receipt of the purchase offer, the buyer will receive a confirmation of receipt. A contract is not formed until:

• Express Order Confirmation or

• Shipping the goods.

Orders that have already been paid for or are currently being processed cannot be canceled. In exceptional cases, the company may accept a cancellation (50 % cancellation fee).

Orders from resellers are Non-cancellable and non-refundable.

Product availability cannot be guaranteed.

4. PRICES

All prices are Net Prices and get along excluding taxes.

„Free shipping“ refers exclusively to packaging and shipping costs.

Prices are subject to change in the following cases:

• Cost of Materials

• Exchange Rate Fluctuations

• Labor Costs

• Production Costs

Promotional prices apply 14 days. After this period, the list price applies.

5. TERMS OF PAYMENT

Payment by:

• Bank Transfer

• Bank Card

• Credit Card

The company determines the available payment methods.

In the event of late payment, the following applies: statutory default interest of 5 percentage points above the base rate.

All orders are processed according to 3 days This is final and cannot be canceled, as the calibration is about to begin.

If the buyer does not return the goods by the deadline, this results in a implied lease agreement with a daily rental fee.

6. DELIVERY, RISK, AND INSTALLATION

Delivery is made from our warehouse or from abroad if the merchandise is not in stock at the Berlin central warehouse.

Delivery times are Estimates and cannot be guaranteed. We assume no liability for delivery delays.

Risk passes to the buyer as soon as the goods are handed over to the carrier.

The company assumes no liability for:

• Loss

• Failure to Deliver

• Damage During Shipping

Notification by the buyer within 48 hours.

Installation by a technician is available within 14 days. The company is not liable for any damage caused during installation.

7. RETURNS, EXCHANGES, AND REFUNDS

Returns are accepted only with written authorization within 3 days.

Returns without an RMA will be rejected.

B2B Transactions: No Consumer Rights.

Custom products are Non-returnable.

Calibration, packaging, shipping, and recycling fees may apply.

Items must be unused and in their original packaging.

Destructive testing equipment includes non-refundable.

8. WARRANTY

Standard Warranty: 12 months.

The warranty covers manufacturing defects, but does not cover:

• Wear and tear

• improper use

• Damage During Shipping

During the warranty period, the company may, at its discretion, repair, replace, or exchange the product.

9. PACKAGING AND TRANSPORT

All prices are exclusive of packaging and shipping costs.

10. RISK & RETENTION OF TITLE

Risk passes to the carrier upon handover.

The company retains ownership until full payment has been made.

The buyer must store the goods separately and label them.

If the item is resold before payment is made, the proceeds are held in trust by the company.

In the event of a delay in payment, the company may retrieve the goods and resell them.

11. TERMS & WARRANTIES & SALE AS DESCRIBED / SAMPLE & CALIBRATION

The contract is none Sale based on description or sample.

All implied warranties are excluded.

Calibrated instruments can drift out of tolerance at any time. There is no guarantee of continued measurement accuracy.

12. DEFECTS, WARRANTY COVERAGE, AND LIMITATION OF LIABILITY

12-month warranty against manufacturing defects (excluding electrical components).

The company may, at its discretion:

• repair

• replace

• Deliver parts

Goods that have been tampered with or repaired without authorization are excluded.

For third-party products, supplier warranties are passed on.

Liability for improper use by the buyer is excluded.

Liability for death or bodily injury remains unaffected.

Returns without an RMA will be rejected.

13. SAMPLE TESTING SERVICES

We assume no liability for loss or damage to samples submitted.

14. CONSEQUENTIAL DAMAGES & TORT LIABILITY

No liability for:

• Consequential Damages Resulting from Defects

• Financial Losses

• Damage to Third Parties

• tort claims

Liability applies only in cases of willful misconduct and gross negligence. The customer bears the burden of proof.

No liability is assumed for calibration accuracy.

15. LIMITATION OF LIABILITY

Liability is limited to the Price of the product in question limited.

16. REPRESENTATIONS & NO VARIATION DUE TO MARKETING MATERIALS

Marketing materials do not alter the terms of the contract.

Product images are for illustrative purposes only and may differ from the actual product.

17. FORCE MAJEURE

Delays in delivery due to external circumstances entitle the company to:

• delay

• Reduction

• Cancellation

No liability for any resulting damages.

18. GOVERNING LAW & JURISDICTION

All contracts are subject to the Law of the United States.

Place of jurisdiction: Courts of the United States.

19. MAILING ADDRESS

Legal documents must be sent to the address specified in the contract or invoice. Documents sent to other addresses are invalid.

20. HEADLINES

Headings are for reference only and do not affect the interpretation.

Calibration Certificate: Official document on measurement results. User Manual: Technical document on safe use. Quality Certificate: Confirmation of technical standards. Delivery Slip: Document listing the contents of the shipment.
